The auctioneer will proceed for stock auction of the following pledgers:

1. Ms. Sukanya Phalee                               

2. Ms. Nuvapa Vitoonchavalitwong                                                                   

3. Mrs. Pimlada Pipatpakorn

The above pledgers held a stock of Prime Road Power Public Company Limited and pledged as a collateral for debt under Credit Balance Agreement and Debt Acknowledgment Letter between GMO-Z com Securities (Thailand) Public Company Limited; a creditor who lent money to Prime Road Capital Company Limited (Credit Balance Agreement dated 3 March 2021 and Debt Acknowledgement Letter dated 10 October 2021), Mrs. Kruawan Trisawadwong (Credit Balance Agreement dated 29 November 2021 and Debt Acknowledgement Letter dated 10 October 2023), and Ms. Parisa Chayavasan (Credit Balance Agreement dated 29 November 2021 and Debt Acknowledgement Letter dated 10 October 2023).

The debtors defaulted on the payment of the debt under such Credit Balance Agreements and failed to repay the debt within the date specified in Notice Letter of Enforcement of the Pledged Share. 

The stock auction will be held on 3 following sessions:

Session 1 :      19 June 2025 at 10.00 a.m.

Session 2 :        3 July 2025  at 10.00 a.m.

Session 3 :      15 July 2025  at 10.00 a.m.

(The registration will start at 9.30 a.m.) at Zcom Hall, GMO-Z com Securities (Thailand) Public Company Limited which is located at No. 9, G Tower Grand Rama 9, 15th Floor, South Wing, Rama 9 Road, Huaykwang, Huaykwang, Bangkok. If there are no sales, unsuccessful sales, or incomplete sales in any scheduled session, the next sale will proceed as per the above scheduled appointment.

All related stakeholders are entitled to attend the stock auction and have the right to bid or seek other persons to bid in for their willing price. If they do not attend the auction, it is considered that they do not intend in the bidding as well as they know the scheduled date and location of the auction. For an observer, there must be only 1 observer per 1 bidder.

Stocks for Auction

Stocks of Prime Road Power Public Company Limited as following list:

1. Share Certificate No. 08390100000306 with 117,300,000 shares; Ms. Sukanya Phalee is a pledger and shareholder.

2. Share Certificate No. 08390100000307 with  17,156,200 shares; Ms. Sukanya Phalee is a pledger and shareholder.

3. Share Certificate No. 08390100000304 with  32,700,000 shares; Ms. Nuvapa Vitoonchavalitwong is a pledger and shareholder.

4. Share Certificate No. 08390100000308 with  32,843,800 shares; Mrs. Pimlada Pipatpakorn is a pledger and shareholder.

All four share certificates in the auction are pledged with GMO-Z com Securities (Thailand) Public Company Limited. The auctioneer will sell the stocks for releasing the pledge. The buyers have a duty to transfer shares, register themselves as a shareholder of Prime Road Power Public Company Limited with Thailand Securities Depository Company Limited, and be responsible for related fees and expenses (if any).

For Starting Price, the auctioneer sets the appropriate starting price by considering current situation, market price, and other related factors.

The auctioneer has the right to withdraw any or all properties to be auctioned from the auction process as deems appropriate.

The registered par value of the share is THB 1 per share.

Bidding Conditions

Bidder shall pledge collateral to the auctioneer as below:

No. 1 amounting of THB 530,000                        

No. 2 amounting of THB  78,000

No. 3 amounting of THB 150,000                        

No. 4 amounting of THB 150,000

Excepting for the bidder who has the right to request waiver.

The collateral shall be in form of a cashier's cheque paying to "Mr. Somkid Wangcherdchuwong" (without crossing) as the recipient.

For those who cannot buy the stock, the auctioneer will return the collateral immediately after the auction on the same day.

Contract Term

The buyer must make the payment immediately after purchasing the stocks, and amount of collateral shall be considered as a part of the payment.

The collateral and payment of remaining amount must be paid in cash. In case of a cheque, it must be a cashier's cheque of a bank in Thailand specifying that Mr. Somkid Wangcherdchuwong is the recipient.

Warning to Buyers

Before the bidding process, the buyer is responsible for checking the details of the property to be purchased and it is considered that the buyer has completely understand condition of such property.

The representative person for the bidding must submit a power of attorney to the auctioneer before submitting a bid, otherwise it will be considered as submitting a bid in his/her own name, which cannot be changed later. If the bidder is a juristic person, they shall submit an Affidavit issued by the Company Registration Office or a legal certificate, and a power of attorney signed by the director or manager of such juristic person to the auctioneer before submitting a bid.
